Terms of Service

1. Acceptance of Terms

By accessing or using the Ingate service ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

Ingate is a managed AI gateway that proxies requests to LLM providers, provides observability and logging, manages prompt templates, runs automated evaluations, and offers provider fallback. The Service is provided as a hosted cloud platform.

3. Accounts

You are responsible for maintaining the confidentiality of your account credentials and API keys. You are responsible for all activity that occurs under your account. Notify us immediately at security@ingateai.com if you suspect unauthorized access.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to reverse engineer, decompile, or disassemble the Service
• Interfere with or disrupt the integrity or performance of the Service
• Attempt to gain unauthorized access to other accounts or systems
• Use the Service to transmit malware or conduct attacks against third parties
• Resell or redistribute the Service without written consent

5. API Usage and Rate Limits

The Service enforces rate limits on API requests. Exceeding your plan's rate limits may result in throttled requests (HTTP 429). Persistent abuse of rate limits may result in temporary or permanent suspension of your account.

6. Data Ownership

You retain all rights to the data you transmit through the Service, including prompts, completions, and any other content. Ingate does not claim ownership of your data and does not use your data to train models or for any purpose other than providing the Service.

7. Service Level

Free plan: the Service is provided on a best-effort basis with no uptime guarantee. Enterprise plan: subject to a separate Service Level Agreement (SLA) with 99.9% uptime commitment.

8. Payment and Billing

The Free plan is available at no cost. Enterprise plans are billed according to a separate agreement. All fees are non-refundable unless otherwise stated in your agreement.

9. Termination

You may terminate your account at any time through the dashboard or by contacting support. We may suspend or terminate your account for violation of these Terms with reasonable notice. Upon termination, your data will be deleted within 30 days unless a longer retention period is required by law.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of Liability

To the maximum extent permitted by law, Ingate shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising from your use of the Service.

12. Indemnification

You agree to indemnify and hold harmless Ingate from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

13. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes at least 30 days before they take effect. Continued use of the Service after changes constitutes acceptance.

14. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
